The Company 
Our client is a corporate services firm headquartered in Singapore, providing company structuring, corporate secretarial, and governance support to international businesses and high-net-worth individuals. The firm manages corporate entities across multiple jurisdictions including Singapore, Hong Kong and offshore structures.  

 

The Role
The Corporate Secretarial Manager will manage a portfolio of corporate entities, handling the full spectrum of corporate secretarial work including statutory compliance, corporate governance, and entity administration across multiple jurisdictions. The role also involves liaising with clients, private banks and internal stakeholders to ensure smooth corporate operations.



Key Responsibilities
• Manage a portfolio of corporate entities across multiple jurisdictions, including Singapore, Hong Kong and offshore structures such as BVI and Seychelles
• Handle the full spectrum of corporate secretarial duties, including company incorporation, preparation of board resolutions, annual filings, and statutory documentation
• Maintain statutory records, registers and corporate governance documentation in accordance with regulatory requirements
• Liaise with regulators, external advisors, banks and clients on corporate administration matters
• Support the opening of corporate bank accounts and assist with related banking documentation and transactions
• Prepare and review corporate documents such as resolutions, minutes, agreements and other governance-related materials
• Maintain corporate secretarial databases and records using corporate secretarial systems (e.g. Viewpoint)

Requirements
• At least 6–7 years of corporate secretarial experience, ideally within a corporate services provider or professional services environment
• Strong understanding of corporate governance and compliance requirements across multiple jurisdictions
• Experience managing offshore company structures (e.g. BVI, Seychelles, Hong Kong) is advantageous
• SAICSA qualification or Diploma in Legal Studies preferred
• Familiarity with corporate secretarial software such as Viewpoint is an advantage
• Prior experience working with high-net-worth individuals (HNWIs), family offices, or private banks would be beneficial
• Strong organisational skills with the ability to manage multiple entities independently
• Customer-focused with strong communication and relationship management skills
